Before you request access

Confidentiality agreement (NDA)

You sign this agreement with your request, for yourself and, if you name one, your firm. Nothing from the data room is shared before it is signed and your request is approved. The full text is UT-NDA-0007 rev 0.1; a signed copy is emailed to you.

  1. ConfidentialityAll materials are confidential information of Upward Technologies B.V.
  2. PurposeYou use them only to evaluate an investment in ERIS or the company that develops it.
  3. No disclosureYou do not share them without written consent, except with your professional advisers under the same duty of confidence.
  4. No licenceAccess gives no rights to Upward's software, models, agents or other intellectual property.
  5. No offerThe materials are not an offer of securities. Projections are estimates, not guarantees.
  6. AttributionAccess is personal. We record who requested it, under which name, email and firm, and which documents are opened.
  7. DurationThese obligations last three years from the date you receive access.

Privacy. We store your name, work email, firm if given, the time you accepted the terms and which revision, and, once you have access, each sign-in and each document you open with the time and your IP address. We use this only to decide on and administer your access and to enforce the confidentiality terms. The access log is kept for three years, then deleted.
